Our goal is to provide the highest possible level of service. Insuring that we
understand one another is the first step in doing just that. To that end,
these are the terms of our agreement together:
1) Authorization
The above-named client is engaging WebOkay Internet Services, a sole
proprietor (Colorado Trade Name Registration: L-40-39156-0000), located at
518 West 8th Street, Pueblo, Colorado 81003-3009, as an
independent contractor for the specific project of transferring their web
site from it’s current hosting service provider to WebOkay Internet
Services’ web servers.
The client hereby authorizes WebOkay Internet Services to access this
account, and authorizes the current web hosting service to provide WebOkay
Internet Services with "read permission" for the client's web page
directory, cgi-bin directory, and any other directories or programs which
need to be accessed for completion of this project.
2) Copyrights and Trademarks
- The client unconditionally guarantees that all elements of text,
graphics, photos, designs, trademarks, artwork, programs, scripts and
content in the web site to be moved are owned by the client, or that the
client has permission from the rightful owner to use each of these
elements. The client also unconditionally guarantees that they will hold
harmless, protect, and defend WebOkay Internet Services and its
subcontractors from any claim or suit arising from the moving such
elements from the web site’s current hosting service to WebOkay Internet
Services’ servers.
4) Sole Agreement
- The agreement contained in this "Standard Web site Transfer Agreement
" constitutes the sole agreement between WebOkay Internet Services and the
client regarding the details of the transfer. Any additional work not
specified in this agreement must be authorized by a written change order.
5) Indemnification
- WebOkay Internet Services does not warrant that the transfer will be
successfully completed or the resulting Internet web site will meet the
client's requirements or that the operation of the web site will be
uninterrupted or error-free. The entire risk as to the quality and the
performance of the web pages and the web site is with client. In no event
shall WebOkay Internet Services be held liable to the client or any other
party or agent for any damages, including any loss of profits, loss of
savings or other incidental, consequential or special damages.
- The client hereby unconditionally agrees that it will defend,
indemnify, save and hold WebOkay Internet Services harmless from any and
all demands, liabilities, losses, costs and claims, including reasonable
attorney’s fees, ("Liabilities") asserted against WebOkay Internet
Services, agents, its clients, servants, officers and employees, that may
arise or result from the transfer of the client’s web site.
- The client hereby agrees that if any provision of this agreement shall
be unlawful, void, or for any reason unenforceable, then that provision
shall be deemed severed from this agreement and shall not affect the
validity and enforceability of any remaining provisions.
The undersigned agrees to the terms of this agreement on behalf of his or her
person, organization or business.
